About these terms
These terms govern use of the Embla onboarding platform, operated by EMBLA AI LTD(“Embla”, “we”), registered in England & Wales (company number [company number — to confirm]). They are between Embla and the accountancy practice that holds the account. They are a first draft under review.
Who can use Embla
Embla is for UK accountancy practices and their staff. By registering, you confirm you are authorised to act for the practice and to accept these terms on its behalf.
Embla's role
Embla provides the tooling a practice uses to onboard its own clients — enquiries, proposals, engagement letters, anti–money-laundering checks and software setup. Embla is not a party to the engagement between a practice and its client, does not provide accountancy, tax or legal advice, and is not the client's accountant. The practice owns its client relationships and is responsible for its own client terms, advice and regulatory obligations.
Your data and your clients' data
Each practice's data is kept isolated from every other practice on the platform. The practice is the controller of its own client data; Embla processes that data on the practice's instructions as described in our privacy policy. You are responsible for having a lawful basis and the necessary notices in place with your own clients.
Acceptable use
You agree not to:
- use Embla unlawfully, or to process data you have no right to process;
- attempt to access another practice's data, probe or circumvent the platform's security, or disrupt the service;
- upload malicious code, or content that infringes others' rights;
- resell or provide the service to third parties except as agreed in writing.
Availability
We work to keep Embla available and reliable, but we don't guarantee uninterrupted access. We may carry out maintenance, and may update or change features. We'll give reasonable notice of significant changes where we can. [Service-level commitments to confirm in review.]
Liability
Nothing in these terms excludes liability that cannot be excluded by law (for example for death or personal injury caused by negligence, or for fraud). Subject to that, Embla is not liable for the accountancy or tax outcomes of any engagement — those are the practice's responsibility — and our liability is limited as set out in the final terms. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
